Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of applications, websites, and services (collectively, the “Services”) provided by Lazy B Studios LLC (“Lazy B Studios,” “we,” “us,” or “our”). By creating an account, downloading, or using any of our Services, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.

If you are using our Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Lazy B Studios LLC develops and operates the following software applications, grouped by release stage:

2.1 Live Solutions

• Chemflo Suite — chemical-manufacturing ERP covering sales, formulas, blending, inventory, audits, and trucking dispatch — currently deployed at an industrial chemical blending operation

2.2 Public Apps

• Bill Reminder — personal finance and bill due-date tracking; available at no cost on Google Play, with an App Store release to follow
• Golf Tracker — golf performance tracking, handicap management, and social score sharing; launching on Google Play and the App Store

2.3 In Development

• TallyBooks — double-entry accounting and bookkeeping for small businesses: invoicing, bills and vendor payments, banking and reconciliation, time tracking and job costing, sales-tax handling, financial reporting on both cash and accrual bases, and an in-app AI assistant that answers questions about your books
• Full Stroke — small-engine and equipment repair shop management: work order tickets, customers, parts, and an in-app AI assistant
• SampleFlow — brand sample logistics with TikTok Shop affiliate workflows

2.4 Research & Development

• Golden Days — private family journaling with a Circle of Caregivers sharing feature (prototype)
• Signops Pro — signage fabrication and field operations workflow (prototype)
• Firewood Delivery — seasonal delivery and lightweight GPS routing (prototype)
• Macro Dieting — weekly-planning-focused macro tracking (prototype)
• Service Industry App — operations tool for small service businesses (lawn care, handyman, mobile detailing, and similar trades) covering job scheduling, customer records, and invoicing (prototype)

We reserve the right to modify, suspend, or discontinue any Service or feature at any time, with or without notice. Research & Development prototypes are not commercial products and may never be released. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

3. User Accounts

3.1 Registration

Certain features require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your password and for all activity that occurs under your account.

3.2 Account Security

You must notify us immediately at support@lazybstudios.com if you suspect unauthorized access to your account. We are not liable for losses caused by unauthorized use of your account resulting from your failure to protect your credentials.

3.3 Eligibility

You must be at least 18 years old, and of legal contracting age in your jurisdiction, to create an account for any Lazy B Studios LLC Service — with one exception. Our consumer mobile apps, currently Bill Reminder and Golf Tracker (Section 2.2), may be used by anyone aged 13 or over. Every other Service requires you to be 18 or older, including Chemflo Suite, TallyBooks, Full Stroke and SampleFlow, and including any Service used to operate a business or to enter into a subscription. The reason for the higher requirement is that opening such an account means entering into this agreement, and in most jurisdictions a person under 18 cannot be bound by one.

Our Services are not directed to children, and we do not knowingly permit anyone under 13 to create an account. We do not ask for your date of birth and we do not attempt to infer your age; by using a Service, you represent that you meet the requirement that applies to it. Where a person under 18 needs to use a Service that requires 18+, an adult may hold the account and grant them access to it where the Service supports doing so.

4. License and Intellectual Property

4.1 License to Use

Subject to your compliance with these Terms, Lazy B Studios grants you a limited, non-exclusive, non-transferable, revocable license to download and use our applications for your personal or internal business use. This license does not include the right to sublicense, sell, resell, transfer, assign, or commercially exploit our Services.

4.2 Ownership

All intellectual property rights in our Services, including software, source code, interfaces, designs, trademarks, logos, and documentation, are owned exclusively by Lazy B Studios LLC or our licensors. Nothing in these Terms transfers any ownership rights to you.

4.3 Your Content

You retain ownership of any data, records, and content you input into our Services (“Your Content”). By using our Services, you grant us a limited license to store, process, and transmit Your Content solely to provide the Services to you. We do not claim ownership of Your Content and will not use it for purposes beyond service delivery.

5. Prohibited Uses

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable regulation
• Reverse engineer, decompile, or disassemble any portion of the Services
• Attempt to gain unauthorized access to any system or network related to our Services
• Upload or transmit viruses, malware, or any code designed to disrupt or damage systems
• Use automated means (bots, scrapers, crawlers) to access the Services without our prior written consent
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the integrity or performance of the Services
• Collect or harvest personal data about other users without their consent

Violation of these restrictions may result in immediate termination of your account and may expose you to civil or criminal liability.

6. Subscriptions and Payments

6.1 Paid Features

Certain Services or features may require a paid subscription. All fees are stated in USD and are non-refundable except as required by applicable law or as expressly stated in a separate written agreement.

6.2 Billing

Subscription fees are billed in advance on a recurring basis. If your payment method fails, we may suspend or terminate your access to paid features after reasonable notice. You are responsible for keeping your payment information current.

6.3 In-App Purchases

In-app purchases are processed by the Apple App Store or Google Play and are subject to those platforms’ respective terms and refund policies. Lazy B Studios has no control over those platforms’ billing or refund processes.

6.4 Enterprise Agreements

Enterprise customers may be subject to separate order forms or service agreements that supersede or supplement these Terms with respect to pricing, support, and data handling.

7. Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in the Privacy Policy.

8. Disclaimer of Warranties

8.1 General

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LAZY B STUDIOS LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

8.2 No Professional Advice

Lazy B Studios LLC is not a certified public accounting firm, a law firm, a tax preparer, or a registered investment adviser, and no employee or agent of Lazy B Studios LLC acts in any such capacity in providing the Services. Nothing in the Services — including any report, calculation, categorization, suggestion, template, chart of accounts, help article, or output of an automated or AI-assisted feature — constitutes tax, accounting, legal, financial, or investment advice, and none of it is a substitute for consultation with a qualified professional. You are solely responsible for obtaining professional advice appropriate to your own circumstances before making any financial, tax, or legal decision.

8.3 Financial Records, Calculations, and Filings

Where a Service records, calculates, categorizes, or reports on financial data, you remain solely responsible for the accuracy, completeness, and lawfulness of that data and of any return, statement, filing, or report derived from it. You are responsible for reviewing and verifying all output before relying on it, providing it to any third party, or filing it with any taxing or regulatory authority. We do not warrant that any calculation, tax rate, categorization, balance, or report produced by the Services is accurate, current, complete, or suitable for your jurisdiction or circumstances.

You are responsible for maintaining your own copies and backups of your records. Where a Service provides export or backup tools, they are provided for that purpose and we encourage you to use them regularly.

8.4 Automated and AI-Assisted Features

Certain Services include features that use automated processing or artificial intelligence to summarize data, answer questions, suggest categorizations, or generate text. THESE FEATURES ARE ASSISTIVE ONLY. Their output may be incomplete, out of date, or incorrect, including in ways that are not obvious, and the same question may not produce the same answer twice. You must review any such output before relying on it or acting on it, and you must not treat it as professional advice or as a verified statement about your records. Where an AI-assisted feature transmits your data to a third-party model provider in order to function, that processing is described in our Privacy Policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LAZY B STUDIOS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

IN NO EVENT SHALL LAZY B STUDIOS LLC’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to defend, indemnify, and hold harmless Lazy B Studios LLC and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party right.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may terminate your account at any time, and where a Service provides a self-service means of doing so you do not need to ask us or wait for us. In TallyBooks, for example, an account owner may delete an entire company from Settings → Company → Data, and any user may close their own account from Settings → Preferences; both take effect immediately. If a Service offers no such control, or you no longer have an account to sign in to, you may terminate by contacting us at support@lazybstudios.com or through our Data Deletion Request page. Upon termination, your right to use the Services ceases immediately. Sections 4.2, 8, 9, 10, 12, and 13 survive termination.

Your Content on termination. While your account remains active you may retrieve Your Content at any time using whatever export or backup tools the Service provides, and you should do so before closing your account or asking us to close it. Following termination or account closure we may delete Your Content, subject to our Privacy Policy and to any retention period required by law. Deletion may be irreversible and we may be unable to recover Your Content afterwards. You may also request deletion of your data at any time through our Data Deletion Request page.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Louisiana, United States, without regard to its conflict-of-law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in East Baton Rouge Parish, Louisiana for any disputes arising under these Terms.

13. Dispute Resolution

Before initiating any formal legal proceeding, you agree to contact us at support@lazybstudios.com and attempt to resolve the dispute informally. We will make good-faith efforts to resolve any dispute within 30 days of receiving written notice.

If informal resolution fails, any claim or dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in Baton Rouge, Louisiana. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to These Terms

We may revise these Terms at any time. When we make material changes, we will update the “Last Updated” date above and, where required, provide notice via in-app notification or email. Your continued use of the Services after revised Terms take effect constitutes your acceptance of the changes.

15. Miscellaneous

These Terms, together with our Privacy Policy and any applicable enterprise agreement, constitute the entire agreement between you and Lazy B Studios LLC with respect to the Services. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
